Job Description

This position will support the Legal and Risk Management Department through ensuring both the routine and specialized legal work of the Society is completed in a timely and accurate manner. This highly organized and detail orientated professional must have a paralegal certificate and be comfortable at handling a wide variety of legal matters. The position shall complete required state and local solicitation and business filings and understanding of the processes and procedures for the filing state will be necessary. It shall also oversee the Society's contracts management database site as well as reporting to ensure timely monitoring and renewals of contracts. The position shall be comfortable inputting information other Society databases (Risk Management, board portal, etc.). Under the supervision of Corporate Counsel, the position shall manage the collection and tracking of the annual conflict of interest disclosures from members of the board of trustees. The position shall maintain and update the Legal and Risk Management Department's Intranet page.

The incumbent will also assist with governance tasks related to the National Board of Directors and its committees and will work on legal projects as assigned which could include legal research and analysis. The incumbent must be a skilled communicator that can represent the Society to various internal and external audiences.

Essential Function/Responsibility (% of time):

  • Contract management (20%)
  • Ensure all contracts covered by the contract policy are stored in the contract management database
  • Monitor and track contracts and make sure that individuals receive notice prior to expiration of contracts
  • Make sure that fully executed contracts are submitted to the Legal and Risk Management approach.
  • Track on missing or incomplete contracts and follow up with necessary parties

    2. Regulatory compliance (20%)
    a. Complete and track the Society's state charitable solicitation filings following the necessary guidelines and filing requirements for individual state
    b. Complete and track the Society's state business filings following the necessary guidelines and filing requirements for individual state
    c. Complete and track the Society's commercial co-venture state filings following the necessary guidelines and filing requirements for individual state
    d. Track lobbying filings to ensure compliance

    3. Governance (30%)
    a. Gather, track and process Society Conflict of Interest disclosures
    b. Communicate conflict of interest resolution reports to staff and volunteers
    c. Provide supporting role on Governance and Nominating committees
    d. Additional support work for Governance for National board of Directors

    4. Legal projects (30%)
    a. Respond to subpoenas and provide documentary support for Society litigation following legal best practices and Society policies.
    b. Draft routine and specialized legal correspondence as needed.
    c. Maintain intranet page
    d. Ensure additional Legal and Risk Management databases are accurate (Enterprise, Board Portal, etc.)
